1. Acceptance of Terms

By accessing or using the AVideo platform (the "Service"), available at our website (the "Site"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and AVideo ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

AVideo is an AI-powered platform that enables users to generate video and image content from text prompts, labels, and other textual descriptions. The Service includes, but is not limited to:

  • AI Image Generation: Create images from text prompts using various styles, compositions, lighting, and mood parameters. Generation modes include Rapid (fast output) and ZImage (high-quality output), with the ability to generate 1–3 images per request.
  • AI Video Generation: Create videos from detailed text descriptions (prompts). Available durations are 8-second and 15-second clips.
  • Media Library: A unified management system for all user-generated images and videos, including preview, download, and deletion capabilities.
  • Asset Library: A curated collection of prompt templates and reference materials maintained by the platform.
  • Community Features (Planned): Future features may include the ability to unlock, browse, and clone content shared by other users on the platform.

The specific features, capabilities, AI models, and technical infrastructure underlying the Service may change over time at our sole discretion. We reserve the right to modify, suspend, or discontinue any aspect of the Service without prior notice.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using:

  • Email address and password (standard registration)
  • Google account via OAuth authentication
  • Other social platform accounts as they become available

Upon registration, you will receive a welcome bonus of credits (currently 10 credits) and an initial allocation of storage slots (currently 3 slots). These amounts are subject to change at our discretion.

3.2 Account Information

When you create an account, we collect and store certain information including your name, email address, and authentication credentials. If you register through a social platform provider (such as Google), we may receive and store information made available through that provider in accordance with their terms and our Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account information up to date
  • Not create more than one account per person
  • Not share your account with any other person
  • Not transfer or sell your account to any third party

4. Credits System and Payments

4.1 Credits Overview

The Service operates on a credit-based billing system. Credits are the sole billing unit on the platform. All billable actions—including image generation, video generation, community content unlocks, and cloning—are denominated in credits.

Key credit rules:

  • Credits are non-withdrawable and non-transferable
  • Credits can only be spent on platform actions within the Service
  • Credits do not expire and remain valid indefinitely
  • Credits have no cash value and cannot be exchanged for currency
  • Failed generations are refunded in full automatically

4.2 Credit Pricing

Credit costs are subject to change. We will notify users of any material changes to the credit pricing schedule.

4.3 Purchasing Credits

Credits may be purchased through the platform's pricing page. The base exchange rate is 1 USD = 10 credits. Custom top-up amounts are also available, with a minimum of $1.00 (10 credits) and a maximum of $1,000.00 (10,000 credits), in increments of 10 credits.

4.4 Payment Methods

We currently accept or plan to accept the following payment methods:

  • Credit and debit cards
  • Cryptocurrency payments (via providers such as Coinbase and MetaMask)
  • PayPal (coming soon)
  • Apple Pay / Google Pay (planned)

All payments are processed through third-party payment processors. We do not store your full payment card details on our servers.

4.5 Refund Policy

Credits are generally non-refundable once purchased. However:

  • If a generation task fails due to a system error, the credits consumed for that task will be automatically refunded to your account balance.
  • We do not provide cash refunds for unused credits.
  • In exceptional circumstances, refund requests may be considered on a case-by-case basis at our sole discretion.

5. Storage

Each user is allocated a limited number of storage slots for generated content. Each saved image or video occupies one storage slot.

Default allocation: 3 storage slots upon registration. When all slots are full, saving new content will automatically overwrite the oldest content in your library. Additional storage slots are unlocked automatically based on cumulative spending milestones.

Storage tiers and slot allocations are subject to change at our discretion. We are not responsible for any content that is overwritten due to storage limitations.

6. User Content and Intellectual Property

6.1 Your Prompts and Inputs

You retain ownership of the text prompts, descriptions, and other inputs you provide to the Service. By submitting inputs, you grant us a non-exclusive, worldwide, royalty-free license to use such inputs solely for the purpose of providing and improving the Service.

6.2 AI-Generated Content

Content generated by the AI models through the Service ("Generated Content") is produced by artificial intelligence. The intellectual property status of AI-generated content may vary by jurisdiction. To the extent permitted by applicable law, you are granted a license to use Generated Content you create for personal and commercial purposes, subject to the following conditions:

  • You may not claim that AI-generated content was created by a human if such a claim would be misleading or deceptive.
  • You acknowledge that other users may generate similar or identical content using similar prompts.
  • We do not guarantee the uniqueness or exclusivity of any Generated Content.
  • You are solely responsible for ensuring your use of Generated Content complies with all applicable laws, including intellectual property laws.

6.3 Platform Intellectual Property

All rights, title, and interest in and to the Service, including the website, AI models, algorithms, software, user interface, design, trademarks, and all other intellectual property, remain the exclusive property of AVideo and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand identity without our prior written consent.

6.4 Community Content

If you choose to publish content to the community features of the platform (when available), you grant AVideo and other users a non-exclusive, royalty-free license to view, unlock, and clone such content in accordance with the platform's community features and credit system. You may remove your content from the community at any time, but copies already made by other users will not be affected.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Generate content that infringes any third party's intellectual property rights, privacy rights, or other legal rights
  • Generate content depicting minors in any inappropriate, sexual, or exploitative manner
  • Generate content intended to deceive, defraud, or mislead others, including deepfakes of real persons without consent
  • Attempt to reverse-engineer, decompile, or extract the AI models, algorithms, or source code of the Service
  • Circumvent, disable, or interfere with security features or usage limits of the Service
  • Use automated tools, bots, or scripts to access the Service in a manner not authorized by us
  • Resell, sublicense, or redistribute the Service or access to it without our written consent
  • Use the Service to train competing AI models without explicit authorization

We reserve the right to suspend or terminate accounts and withhold credits for any violation of this Acceptable Use Policy, without prior notice and without refund.

By using the Service, you consent to the collection, use, and processing of your information as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • The quality of Generated Content will meet your expectations
  • Any defects in the Service will be corrected
  • The AI models will produce accurate, appropriate, or non-infringing content

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, AVideo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9.3 AI Content Disclaimer

AI-generated content may contain errors, inaccuracies, or unintended outputs. You are solely responsible for reviewing and ensuring the appropriateness and legality of all Generated Content before use. AVideo assumes no liability for any consequences arising from the use of AI-generated content.

10. Indemnification

You agree to indemnify, defend, and hold harmless AVideo, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you generate, publish, or distribute through the Service

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Fraudulent or illegal activity
  • Non-payment or payment disputes
  • Extended periods of account inactivity

Upon termination, your right to use the Service ceases immediately. Any remaining credits in your account will be forfeited and are non-refundable. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Site with a revised effective date and, where practicable, by sending notification to the email address associated with your account.

Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, your sole remedy is to discontinue use of the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AVideo is incorporated, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration body in the applicable jurisdiction.

You agree that any claims or causes of action arising out of your use of the Service must be filed within one (1) year after such claim arose, or be forever barred.

14. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AVideo regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or failures of third-party services.
